Dealer Terms

Dealer pricing

• Dealer prices are tiered by monthly volume and order consistency.
• Pricing is reviewed quarterly or whenever supplier prices change.
• Dealer price lists are confidential and may not be shared publicly.

Minimum order

• Initial onboarding order quantity is agreed during dealer setup.
• Subsequent orders must meet the minimum quantity for delivery to be free.

Payment terms

• New dealers operate on pro-forma (pre-payment) terms for the first 90 days.
• Credit terms (where granted) are documented in a separate credit agreement.
• Overdue accounts may be placed on stop-supply and subject to interest on the outstanding balance.

Warranty handling

• Dealers submit warranty claims through ArkOverland with supporting documentation.
• End-customer fitment and pressure records strengthen claim outcomes.
• Approved claims are credited to the dealer account or replaced.

Resale pricing guidance

• Recommended retail prices are shared for brand consistency.
• Dealers may not advertise below agreed floor prices without written approval.

Brand & marketing

Use of the ArkOverland brand assets is permitted within the dealer brand guidelines provided at onboarding. Misuse may result in termination of the dealer agreement.

Termination

Either party may terminate the dealer relationship in writing. Outstanding balances remain payable in full.
